sorry, another question (!)
i am vert attached to my 3950 and do not really want to change to a newer model unless i have to but is there anyway of upgrading the processor or ROM in my 3950?

You cannot upgrade the processor or ROM. There is a company that can upgrade RAM to 128MB for $109. And there is a WM2003 OS upgrade cd from HP. They're no longer selling it, but you can still find it on ebay from time to time.

with SD and CF Cards there is probabaly no reason to upgrade the RAM.
will this WM upgrade work on my machine?

WM2003 upgrade should work with your iPAQ as long as you obtain a genuine upgrade cd for your specific model that was released by HP. The upgrade process will erase all user input data and installed programs, you will need to create new partnership and reinstall 3rd party applications.
