The terms and conditions are as follws:

THE SECOND SCHEDULE OPENS ON THE 21-10-01 AND CLOSES ON 27-10-01
1. We charge a Upfront fee of Rs. 3 lakhs for the first 5,000 lines and Rs.5 lakhs for the first Ten Thousand Lines per day which is refundable after 3 years, the Upfront fee is not adjustable in any of the bills, this has to be paid in advance to get the lines .
2. After signing the contract, lines will directly come to you from the US server through us, the test period will start from the next day, wherein you will be sent the test files just to check your quality, if your quality is upto their mark, they will start sending you the live files, with all the required lists etc, it all depends upon how fast you will qualify their quality standards.
3. The first three months we pay you 4.5c/line for the normal files whose TAT is 12 hrs and for emergency reports, whose TAT will be less a higher price is got and that is passed directly to you.
4. The payment of the first bill will take 65 days and then onwards it takes 30 working days.
5. The calculations are done like this:
a. A line means: 65 characters including spaces.
b. The quality analysis is done according to the aamt standards.
c. The required level of accuracy expected from our client is 98.75%.

THE MOU IS AS FOLLOWS:

MOU

This MoU Is Entered Into At Mysore On This 12th Day Of September 2001, By And Between Karthik Homes Private Limited Having Its Principal Place Of Business At No.8, I Floor, Double Road, Kuvempunagar, Mysore 570 009. Represented By Its Director Mr. K G Bhatt, Hereinafter Called The First Party On The One Side, Which Expression Shall Wherever Is Not Repugnant To the context shall mean and include its heirs, successors assigns, administrators, executors, representatives and agents of the other party.

Whereas the First Party is engaged in the business of Medical Transcription and providing services in Medical Transcription on turnkey basis to those who approach them for a consultation and also supply of orders from Overseas Clients.

Whereas the Second Party is a company incorporated with the objective of providing Medical Transcription and Medical Billing / Coding Services to the health care industry in India and Abroad by setting up own production unit.

Now this MOU witness the terms and conditions:

1. The First Party has represented that it has entered into an MoU with its US Clients for regular supply of Medical Transcription work, a portion of which will in turn be passed on to the Second Party.
2. The First Party shall assign the work to the Second Party after due consultation with their clients based on the terms and conditions between the First Party and the US Client.
3. The agreed consideration for providing the order shall be a refundable sum of Rs.5, 00,000.00 (Rupees Five Lakhs only). The Second Party on signing the MOU shall pay the First Party the same. However as the principal client imposes penalty on the deposit for insufficient quality and improper turn around times the deposit will be non – refundable if the Second Party fails to keep quality and turn-around-time.
4. In case if the First Party fails to keep the commitments setforth in this MOU, all the amounts paid by the Second Party to the First Party as consideration under this MOU will be refunded, within 15 days.
5. The Second Party will be paid 4.5 US cents per line of 65 characters with spaces at 98.5% accuracy and above. This compensation will be increased to 5 US cents per line after successful completion and acceptance of the first three months of ‘ live’ production. The reports with an accuracy level of less than 98.5% will not be paid for.
6. All calculations are based on AAMT standards.
7. Billing & Payment:
The Second Party shall raise the bill every 15 days and the First Party will make the payment within two days of receipt of payment from the client. So however that the payment by the First Party to the Second Party shall not in any case exceed a maximum of 20 days from the date of billing. According to the agreement between the First Party and the US Client, the client will make all the payments to the First Party only through an irrevocable revolving Letter of Credit or by means of mail transfer.
8. The First Party will pay the Second Party in Indian rupees along with a disclaimer certificate to allow the Second Party to have all the benefits of an EoU. Direct payments in US$ will be made after smooth execution of the project commitment through negotiations.
9. This MoU guarantees to the Second Party a work volume of 10,000 lines per day on an average, starting with 5000 lines and increasing scale at a turn-around- time (TAT) of 12 hrs maximum.
10. The Commercial production will start within 30 days of signing of this MoU Additional lines will be given to the Second Path based on the client’s satisfaction and the agreement with the First Party at the time of requirement.
11. Any anticipated delays in TAT by the Second Party should be communicated to the First Party immediately.
12. All the reports that are sent beyond TAT alone will carry a penalty of 50% of the agreed per line rate.
13. The overall period of contract for the above order shall be three years, subject to fresh renewal after every year, which shall be decided by the First Party.

Technical Details:
1. Time: All communications should be done in US time only in order to avoid communication error.

Communication Skills:

1. The Second Party will immediately inform the First Party about missing dictations and such blank files will be used for billing.
2. The Second Party should follow any priority changes on any of the dictated files given by the client and they should make the corrections in the job allocation charts respectfully.

The Second Party shall not contact or take orders for MT work from any other client other than the First Party or get the prior permission for the should either Process it through the First Party or get the prior permission from the First Party. Breach of this condition may lead to the termination of the contract.

Data Base:

The Second Party shall maintain the following database at the site, which must be on Microsoft Access version 1997 to 2000.
List of all doctors with phone numbers and specialty.
Drug list.
Daily patient log which will be used for billing.

THIS AGREEMENT IS MADE FOR THE MUTUAL BENEFIT OF BOTH THE FIRST & SECOND PARTIES AND THEY AGREE TO WORK AND COOPERATE AMICABLY FOR THE SUCCESS OF THIS MOU.
